Terms and Conditions of Sale (B2B)

1. About Us

These Terms and Conditions apply to all sales made by:

2. Business Customers Only

These Terms apply only to business customers.

By placing an order, you confirm that you are acting in the course of a business and not as a consumer within the meaning of the Consumer Rights Act 2015.

3. Orders and Acceptance

  • All orders are subject to acceptance by us

  • We reserve the right to refuse or cancel any order at our discretion

  • A contract is formed only when we confirm acceptance of your order

4. Prices and Payment

  • All prices are in GBP (£) and may be exclusive of VAT unless stated otherwise

  • Payment terms will be agreed at the point of sale

  • We reserve the right to charge interest on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

5. Delivery

  • Delivery dates are estimates and not guaranteed

  • Risk in the goods passes to the customer upon delivery

  • Title to goods remains with us until full payment is received

6. 14-Day Return Policy (Commercial Supplies)

6.1 Overview

This return policy applies to all B2B purchases of commercial supplies.

6.2 Eligibility for Returns

Returns may be requested within 14 calendar days of delivery, provided:

  • Goods are unused, unopened, and in original packaging

  • Goods are in resalable condition

  • Valid proof of purchase is provided

We reserve the right to refuse returns that do not meet these conditions.

6.3 Non-Returnable Items

The following are non-returnable unless faulty or supplied in error:

  • Custom-made or bespoke products

  • Perishable goods

  • Clearance or final sale items

  • Items marked as non-returnable

6.4 Return Process

To request a return:

  1. Contact sales@aahowdensuppliesltd.co.uk within 14 days

  2. Provide order details and reason for return

  3. Await written return authorisation

Unauthorised returns may be rejected.

6.5 Return Shipping

  • Customers are responsible for return costs unless goods are faulty or incorrect

  • Goods remain the customer’s responsibility until received by us

  • A tracked service is strongly recommended

6.6 Inspection and Approval

All returned goods are subject to inspection.

Refunds or credits will only be issued if goods meet the required conditions.

6.7 Refunds and Restocking Fees

  • Refunds will be issued to the original payment method or as account credit

  • A restocking fee of up to 3% may apply

  • Delivery charges are non-refundable unless the return is due to our error

6.8 Faulty or Incorrect Goods

If goods are faulty, damaged, or incorrect:

  • You must notify us within 14 days of delivery

  • We will offer a repair, replacement, or refund

  • We will cover return shipping costs

7. Product Use and Suitability

  • It is the customer’s responsibility to ensure products are suitable for their intended use

  • We do not guarantee fitness for a particular purpose unless expressly agreed in writing

8. Limitation of Liability

Nothing in these Terms limits or excludes liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Any liability which cannot be excluded under UK law

Subject to the above:

  • We shall not be liable for loss of profits, loss of business, or indirect/consequential loss

  • Our total liability shall not exceed the value of the goods supplied

9. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control, including but not limited to:

  • Supply chain disruption

  • Transport delays

  • Acts of God

  • Government actions

10. Intellectual Property

All product descriptions, images, and materials remain our property or that of our licensors and may not be used without permission.

11. Data Protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018.

12. Amendments

We reserve the right to update these Terms at any time.

The latest version will always be available on our website.

13. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  • If any provision is found invalid, the remaining provisions remain in force

  • Failure to enforce any right does not constitute a waiver

Important Notice

These Terms apply to business customers only. Statutory consumer rights do not apply to B2B transactions, except where required by law.
